PB60 provides business consulting, strategic planning, operational optimisation, financial advisory, human resources consulting, compliance and risk management, and business development services ("Services").

The specific scope, deliverables, timelines, and fees for any engagement will be outlined in a separate service agreement, proposal, or statement of work ("Service Agreement") agreed upon by both parties prior to the commencement of work.

In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail to the extent of the inconsistency.

4. Use of Website

You agree to use our website only for lawful purposes and in accordance with these Terms. You must not:

  • Use the website in any way that violates any applicable federal, state, or local law or regulation.

Fees for our Services will be set out in the applicable Service Agreement. Unless otherwise stated:

  • All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise.
  • Invoices are payable within 14 days of the invoice date unless otherwise agreed.
  • Late payments may incur interest at a rate of 2% per month on the outstanding balance.
  • We reserve the right to suspend or terminate Services if payment is not received by the due date.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law.

This obligation of confidentiality shall survive the termination of any Service Agreement for a period of two (2) years.

8. Limitation of Liability

To the maximum extent permitted by law:

  • PB60 Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
  • Our total aggregate liability for any claim arising out of or relating to our Services shall not exceed the total fees paid by you to PB60 in the twelve (12) months preceding the claim.
  • We do not guarantee specific results from our consulting services. Outcomes depend on various factors, many of which are outside our control.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.

9. Disclaimers

Our website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

Either party may terminate a consulting engagement by providing written notice as specified in the applicable Service Agreement.

We reserve the right to terminate or suspend your access to our website at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, you remain liable for any outstanding fees owed to PB60 for Services already performed.

11. Indemnification

You agree to indemnify and hold harmless PB60 Pty Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms, your use of our website, or your engagement of our Services.

12. Force Majeure

PB60 shall not be liable for any delay or failure to perform its obligations under these Terms or any Service Agreement if such delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, or disruptions to telecommunications or power supply.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Western Australia, Australia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Western Australia.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
